Our services

Himalyn Studio provides software and AI engineering services, including web and mobile development, AI automation, agentic systems, consulting, and prototyping. The specific scope, deliverables, and timeline for any engagement are defined in a written proposal or statement of work agreed by both parties before work begins.

Anything not expressly included in the agreed scope is out of scope. We are happy to extend scope, but we will always agree the change, its cost, and its schedule impact in writing first.

Payment terms

Engagements are billed as set out in the relevant proposal, typically a deposit on signing, with the balance tied to milestones or monthly invoicing. Invoices are due within fourteen days unless otherwise agreed.

Work may be paused on accounts with overdue balances. Deposits are non-refundable once work has commenced, as they reserve dedicated senior capacity for your project.

Intellectual property

On receipt of final payment, you own the deliverables we created for you under the engagement, including code, designs, and documentation, with the right to modify and extend them freely.

We retain ownership of our pre-existing tools, libraries, and general know-how, and grant you a perpetual license to any of those embedded in your deliverables. We may describe the engagement in our portfolio unless your agreement says otherwise.

Limitation of liability

We build carefully and stand behind our work. However, to the maximum extent permitted by law, our total liability under any engagement is limited to the fees you paid us for that engagement, and we are not liable for indirect or consequential losses such as lost profits or lost data.

Nothing in these terms limits liability that cannot be limited by law, including liability for fraud or willful misconduct.

Termination

Either party may terminate an engagement with fourteen days' written notice. On termination, you pay for work completed to date, and we hand over all completed and in-progress deliverables in a usable state.

We may terminate immediately if invoices remain unpaid after reasonable notice, or if continuing the work would require us to act unlawfully or unethically.

Governing law

Unless your services agreement states otherwise, these terms are governed by the laws applicable in the jurisdiction named in your agreement. We will always attempt to resolve disputes through direct, good-faith conversation before anything else.
